Anthropic has announced plans to commit 5% of its shares to a new public benefit fund, with the allocation able to grow as the company’s value increases

Anthropic has pledged 5% of its shares to a new public benefit fund, establishing a structure that could increase the allocation as the AI company's valuation grows. The commitment, which remains subject to stockholder approval, will create an additional mechanism for funding work beyond Anthropic's existing commercial and public benefit activities.

The Anthropic Public Benefit Fund has been established as a wholly owned limited liability company (LLC). Under the proposed arrangement, Anthropic's board can approve an additional 2% equity allocation for every 50% increase in the company's value above a specified baseline.

Unlike a fixed charitable contribution, the fund's potential scale is linked to Anthropic's future growth. However, additional allocations are discretionary rather than automatic, and the company has yet to publish the valuation milestones that would determine when further shares could be committed.

How Anthropic plans to use the fund

Anthropic says it chose an LLC structure rather than a traditional nonprofit model to provide greater flexibility over how resources are distributed. Potential uses include substantial donations to existing nonprofits and direct distributions to specific populations.

One area the company identifies is AI's impact on employment. Anthropic has already committed $200 million to studying and addressing labor market disruption, but acknowledges that the pace of AI development may require further approaches.

In its announcement, the company states: "AI may generate enormous economic value, but it could also cause instability for many workers."

The fund could provide another way to address those challenges, although Anthropic has not confirmed specific funding allocations or programs under the new initiative.

Daniela Amodei, President of Anthropic, wrote on LinkedIn:

"I'm excited both about the good work this will make possible and the way this approach strengthens the direct relationship between our commercial business and our public benefit mission."

Around 20% of Anthropic shares dedicated to public benefit

The announcement builds on existing commitments made by Anthropic's founders and employees.

When the company was established, its co-founders pledged to donate 80% of their personal equity holdings. Anthropic also operates an employee equity donation matching program, with approximately half of its workforce participating.

Combined with the new commitment, Anthropic says roughly 20% of its shares will be dedicated to public benefit, before any additional equity is allocated through future valuation milestones.

The company already carries out public benefit activities within its commercial operations, including AI safety and interpretability research, applied biomedical research, and discounted access to Claude for nonprofits and scientific institutions.

Anthropic has also confirmed that none of the equity held by the new fund will be used for lobbying or political giving, either in the US or internationally.

Further details about the fund's governance arrangements and valuation milestones are expected in the coming months, alongside a public benefit report covering Anthropic's progress against its mission.
