Anthropic has confidentially submitted draft IPO paperwork to the U.S. Securities and Exchange Commission.

Anthropic has confidentially submitted a draft registration statement on Form S-1 to the U.S. Securities and Exchange Commission for a proposed initial public offering of common stock.

The AI company announced the filing on 1 June 2026. Anthropic said the confidential submission gives it the option to go public after the SEC completes its review.

The proposed initial public offering remains subject to market conditions and other factors. Anthropic has not set the number of shares to be offered or the price range.

The announcement was published under Rule 135 of the Securities Act of 1933. Anthropic said the statement is not an offer to sell securities or a solicitation of an offer to buy them.

Confidential filing gives Anthropic IPO option

A confidential draft S-1 filing allows Anthropic to begin the SEC review process without immediately publishing the full registration statement.

Anthropic said the filing does not guarantee that an IPO will proceed. Any future sale of securities would need to be made in line with the registration requirements of the Securities Act.

The filing comes as Anthropic continues to expand its AI products and education-related work. The company recently launched five free AI fluency courses on Coursera, covering foundational AI skills, educators, students, and nonprofit professionals.

Anthropic has not disclosed the number of shares that could be included in the proposed IPO. The company has also not disclosed an expected price range, listing venue, or timeline for a public offering.

The next formal step is the SEC review of Anthropic’s confidential draft registration statement. Anthropic said the proposed IPO will depend on market conditions and other factors.
